These Terms of Service ("Terms") govern your access to and use of the Cuponary mobile application and related services (together, the "Services"), operated by Cuponary LLC ("Cuponary," "we," "us," or "our"). By creating an account or using the Services, you agree to these Terms. If you do not agree, please do not use the Services.
1. Who Can Use Cuponary
You must be at least 18 years old to use the Services. By using Cuponary, you represent that you are 18 or older and that the information you provide is accurate and complete. If you use the Services on behalf of a business, you represent that you are authorized to bind that business to these Terms.
2. Your Account
To use most features, you must create an account with a valid email address and password. You are responsible for keeping your login credentials secure and for all activity that occurs under your account. Notify us promptly at support@cuponary.com if you believe your account has been accessed without authorization.
3. How Cuponary Works
Cuponary is a marketplace that connects customers with local businesses offering coupons and loyalty rewards. Customers can discover deals, redeem coupons using a one-time QR code, and collect loyalty stamps that count toward rewards offered by participating businesses.
Cuponary is a platform, not the merchant. The coupons, discounts, loyalty programs, and rewards are created and offered by the participating businesses, not by Cuponary. We are not responsible for the goods or services provided by those businesses, the honoring of any offer, the quality of any product, or any dispute between you and a business. Any transaction you complete at a business is solely between you and that business.
4. Coupons, Redemptions, and Rewards
- Coupons are valid only at the participating business that created them and are subject to the terms, expiration dates, and conditions that business sets.
- Redemption is completed when the business scans your QR code. Each QR code is generated for a single use and expires after a short time.
- Loyalty stamps and rewards are earned and redeemed according to the program each business sets up, and a business may modify or end its loyalty program.
- Coupons, stamps, and rewards have no cash value, are not transferable, and cannot be exchanged for money.
- We reserve the right to void redemptions, stamps, or rewards that we reasonably believe were obtained through fraud, error, or violation of these Terms.
5. Business Accounts
If you register as a business, you are responsible for the accuracy of your business information, the offers you publish, and honoring the coupons and rewards you make available through the Services. You grant Cuponary a non-exclusive license to display your business name, logo, photos, and offers within the Services in order to provide them. You agree not to publish misleading, unlawful, or infringing content.
6. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of these Terms;
- Attempt to defraud a business or Cuponary, including by generating or redeeming coupons or stamps in bad faith;
- Copy, scrape, reverse engineer, or interfere with the Services or their security;
- Upload content that is unlawful, infringing, harmful, or that you do not have the right to share;
- Impersonate another person or business, or misrepresent your affiliation.
We may suspend or terminate accounts that violate these Terms.
7. Intellectual Property
The Services, including the Cuponary name, logo, software, and design, are owned by Cuponary LLC and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose. You retain ownership of the content you submit, but grant us a license to use it as needed to operate the Services.
8. Third-Party Services
The Services use third-party providers, including Supabase (backend infrastructure) and Google Maps Platform (maps and address lookup). Your use of features powered by these providers may also be subject to their terms and policies. We are not responsible for third-party services.
9. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any coupon, offer, or reward will be available or honored by a business.
10. Limitation of Liability
To the fullest extent permitted by law, Cuponary LLC and its owners, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of the Services or any interaction with a participating business. Our total liability for any claim relating to the Services will not exceed one hundred U.S. dollars (US $100).
11. Indemnification
You agree to indemnify and hold harmless Cuponary LLC from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of another party.
12. Termination
You may stop using the Services at any time. You can permanently delete your customer account directly in the app, from your profile settings. When you delete your account, we handle your personal information as described in our Privacy Policy, including anonymizing your past redemptions so that participating businesses retain their transaction records. Business accounts with an active listing are closed by contacting support@cuponary.com. We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or to protect the Services, other users, or participating businesses.
13. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you within the Services. Your continued use of the Services after changes take effect means you accept the revised Terms.
14. Governing Law
These Terms are governed by the laws of the State of Utah, United States, without regard to its conflict of law principles. Any dispute arising from these Terms or the Services will be subject to the jurisdiction of the courts located in Utah.
